Creator Agreement
Pricing models, fees, payouts, refunds, chargebacks, taxes, and your responsibilities as a creator.
This Creator Agreement is between you (“Creator”, “you”) and BUYMYAGENT TECHNOLOGIES INC., a Canadian corporation (“Buy My Agent”, “we”, “us”). It applies when you claim a creator page or list an agent, and it supplements our Terms of Service, Privacy Policy, Acceptable Use Policy, and Refund & Cancellation Policy. If this Agreement conflicts with the Terms on a creator-specific matter, this Agreement controls for that matter.
References in this Agreement to an “agent” carry the meaning given in the Terms of Service: “agent”, “AI agent”, and “workflow” are used interchangeably and cover every listing form — agents, workflows, automations, template and prompt packs, setup guides, and integrations — together with their prompts, configurations, documentation, and access method, regardless of the label used. A “sale” means either kind of paid transaction described under How you can price a listing below, and “customer” means a subscriber or a one-time purchaser as the context requires.
Eligibility & authority to list
You must be able to form a binding contract and operate in a supported creator country (currently Canada and the United States; other regions are added only after review). You represent that you have the full right, authority, and all licences and permissions necessary to list, offer, and supply each agent you list, including any rights required for the underlying models, tools, data, content, and third-party AI providers your agent relies on. You are not located in an embargoed jurisdiction or on a government restricted-party or sanctions list.
Your responsibility for your agent
You are solely responsible for your listings and their accuracy; the claims you make; your agent's functionality, behaviour, and outputs; the support you provide to your customers; and your compliance with the terms of any third-party AI provider or API your agent uses (including not reselling access to a consumer account, shared login, or personal subscription). You are an independent supplier and, unless a specific transaction states otherwise, the supplier and merchant of record for your sales — both subscriptions and one-time purchases. Agents produce AI-generated output that may be inaccurate, incomplete, or unsuitable; you are responsible for what your agent does and says.
Intellectual property & licence to us
You retain ownership of your agent and your original listing content. You grant Buy My Agent a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, format, adapt for presentation, promote, and distribute your listing content and marks as needed to operate, market, and provide the marketplace (including thumbnails, previews, search, and social/link previews). You warrant that your listing content and agent do not infringe or misappropriate any third-party rights.
Our moderation & enforcement rights
Every agent undergoes a limited eligibility review before listing, which is not an endorsement or guarantee. We may review, approve, reject, restrict, unlist, suspend, remove, or permanently ban an agent or account, adjust how a listing is presented, and act immediately on high-risk cases, under our Acceptable Use Policy and Safety policies. We operate a report-and-takedown process and may act on repeat violations, including permanent removal.
How you can price a listing
A paid listing is sold in one of two ways, which you choose when you list it and which is shown to the customer before they pay:
- Subscription — a recurring monthly or annual charge that renews automatically until the subscriber cancels. You may only choose this where the subscriber genuinely receives ongoing value — for example updates, support, hosting, maintenance, a community, or API usage you pay for — and you must state on the listing what that ongoing value is.
- One-time purchase — a single charge with no renewal. This is the right choice for a static deliverable such as a repository, download, template or prompt pack, guide, code, or workflow file. A one-time purchase gives the customer access that is not tied to a billing period, so you must not sell as a one-time purchase something you intend to switch off, meter, or make conditional on a later payment.
Charging a recurring fee for something that delivers no ongoing value, or describing a recurring charge as a one-time payment (or the reverse), is a misrepresentation of the offer and may lead to rejection, unlisting, or removal under the Acceptable Use Policy. A free listing must be genuinely usable at no charge (see Fee integrity below).
Platform fee
We charge a marketplace fee of 10% of each sale — the same 10% on a one-time purchase as on each subscription charge, including every renewal — taken automatically at the time of the transaction, plus any applicable taxes on that fee. Stripe's own processing fees are separate and are not part of our fee. We may change the fee prospectively on notice; the fee that applies to a given transaction is the fee disclosed when the customer buys or subscribes.
Fee integrity. You agree not to use the marketplace to circumvent the fee — including listing as free a product that subscribers must pay you to use, or using a listing primarily to route subscribers off-platform to complete a purchase the listing offers. A free listing must be genuinely usable at no charge; a genuine free tier with paid upgrades is welcome when the paid parts are disclosed on the listing. Circumvention listings may be rejected, unlisted, or removed under the Acceptable Use Policy.
Payments, Stripe Connect & the Stripe Connected Account Agreement
Payments and payouts are processed by Stripe through Stripe Connect. To receive payments you must create or connect a Stripe account, complete Stripe's identity verification (KYC), and accept and comply with the Stripe Connected Account Agreement and the Stripe Services Agreement, which govern your relationship with Stripe. Stripe may require additional information and may verify, limit, hold, or close your account under its terms. You authorize us to instruct Stripe to collect our platform fee and to make and adjust payouts as described here.
Payouts, holds, reserves & no guaranteed payout
Payouts are processed by Stripe on its standard schedule and are not guaranteed until funds are available and no longer subject to refund, dispute, chargeback, processor hold, reserve, or legal or tax restriction. Payout timing may vary, and payouts may be delayed, paused, reversed, reduced, or withheld where permitted by the Stripe terms that apply to you and by applicable law — for example for risk, suspected fraud, verification, disputes, or policy violations. Where permitted, we or Stripe may hold a reserve or delay payouts.
Refunds, chargebacks, disputes, negative balances & recovery
Refunds, chargebacks, disputes, and dispute fees on your sales may reduce your balance and may create a negative balance. You remain responsible for merchant losses, refunds, chargebacks, dispute fees, and tax misstatements attributable to your sales, where applicable. Where your balance is insufficient, we may recover amounts you owe by deducting them from your current or future payouts, or by requiring repayment, to the extent permitted by the Stripe terms that apply to you and by applicable law. When you refund a sale, we reverse our marketplace fee in proportion to the amount refunded, so we keep no fee on money you have given back; the reversal is not a payment from us to you beyond that reversed fee. Refund decisions on your sales rest with you as merchant of record, subject to the Refund & Cancellation Policy and applicable consumer law.
How refunds and disputes affect a customer's access. For a subscription, access follows the subscription: a refund does not by itself cancel it, and access ends when the paid period ends or the subscription is cancelled or terminated. For a one-time purchase, a full refund revokes the customer's access (the purchase is unwound) while a partial refund leaves access in place — so refund partially only if you intend the customer to keep what they bought. On a chargeback, access is suspended while the dispute is open; if the dispute is lost, a subscription is cancelled and a one-time purchase is revoked; if it is won, access is restored after we confirm the payment stands. These effects are applied automatically by the platform and are not a substitute for your own support and refund decisions.
Payouts are processed by Stripe and are not guaranteed until funds are available and no longer subject to refund, dispute, chargeback, processor hold, reserve, or legal/tax restriction. Refunds, disputes, chargebacks, dispute fees, negative balances, and other merchant losses may be deducted from your balance or future payouts where permitted by Stripe terms and applicable law.
Taxes
You are responsible for determining, collecting, and remitting any taxes you are required to charge on your own sales (for example GST/HST or other sales taxes), and for your own income and business taxes. Buy My Agent may have separate obligations as a marketplace facilitator in certain jurisdictions; where those apply, we will collect and remit the relevant tax and this does not relieve you of your other tax responsibilities. You must provide accurate tax information and keep it current, and you are responsible for the accuracy of your tax declarations. Nothing here is tax advice; consult your own advisor.
Subscriber data & privacy
A subscriber's email is shared with you only if that subscriber chooses to share it. Sharing is off by default and subscriber-controlled: some subscribers will share their email so you can contact them and provide support, and some will not — a subscriber can also withdraw sharing at any time. Where a subscriber has not shared their email, you will not receive it and must not attempt to identify or contact them outside the platform; delivery of access does not require their email (access is granted automatically through Buy My Agent). Where a subscriber has shared their email, you are an independent controller of that information and must handle it only to run your agent and support that customer, in compliance with applicable privacy law and our Privacy Policy — not for unrelated marketing, resale, or profiling. You must protect it with appropriate safeguards and stop using it and delete it if the subscriber withdraws sharing, or when it is no longer needed for support and any legitimate follow-up ends.
Support obligations
You must provide reasonable customer support for your agent, including responding to questions and refund requests from subscribers and one-time purchasers alike. As a baseline, you should respond to a customer's support or refund request within 5 business days. If you do not respond within that window, or access was never delivered, the agent has been unavailable for an extended period, or the listing materially misrepresented what the subscriber received, we may step in and facilitate a resolution, including a refund through Stripe, as described in the Refund & Cancellation Policy.
Effect of removal on customers
If your listing or account is suspended, removed, or terminated, active subscriptions for the affected agent may be cancelled and customer access may be revoked or suspended — including access bought as a one-time purchase, which has no billing period to run out and is otherwise open-ended. We may cancel the related Stripe subscriptions and revoke entitlements. You remain responsible for obligations that accrued before removal, including refunds and chargebacks — and, because a one-time purchaser has already paid in full for access you can no longer supply, you should expect refund requests from them and are responsible for handling them under the Refund & Cancellation Policy.
Indemnity
To the extent permitted by law, you will indemnify and hold harmless Buy My Agent and its personnel from claims, losses, and expenses arising from: your agent and its outputs; your listings and claims; your violation of a third-party AI provider's terms; intellectual-property infringement; unlawful or harmful content; your handling of subscriber data; your tax obligations or misstatements; and your breach of this Agreement, the Terms, or applicable law.
Term, termination & survival
This Agreement applies for as long as you have a creator page or listing. Either party may terminate on notice; we may suspend or terminate immediately for policy or legal reasons. Provisions that by their nature should survive — including fees owed, payout recovery, refunds/chargebacks, taxes, intellectual-property licences already exercised, subscriber-data obligations, indemnity, disclaimers, and limitation of liability — survive termination.
Relationship & general terms
You and Buy My Agent are independent contractors; nothing in this Agreement creates an employment, agency, partnership, or joint-venture relationship, and neither party may bind the other. The general provisions of the Terms of Service — including eligibility and sanctions, changes and notices, electronic communications, dispute resolution and governing law, assignment, severability, force majeure, and entire agreement — also apply to this Agreement.
Disclaimers & limitation of liability
The marketplace is provided “as is” and “as available.” To the maximum extent permitted by law, our aggregate liability to you arising from the marketplace is limited as set out in the Terms of Service, and we are not liable for lost profits, lost payouts you were never guaranteed, or indirect or consequential losses. Nothing in this Agreement limits or excludes any liability, warranty, remedy, or right that cannot be limited or excluded under applicable law, including non-waivable consumer-protection rights and liability for fraud, willful misconduct, or gross negligence. Governing law: British Columbia, Canada, without limiting mandatory local rights that apply to you.
Effective date: August 1, 2026. This Creator Agreement supplements the Terms of Service.
